Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using Rank and Play (the "Platform"), or by creating an account, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms form a legally binding agreement between you and Rank and Play. We are not responsible for other users on this platform.

2. Eligibility – Adults Only

The Platform is strictly for adults and is not directed to children under 18. You must be at least 18 years old to create an account or use any features. By using the Platform, you represent and warrant that you are 18 or older. We do not knowingly collect personal information from anyone under 18. If we become aware that a user is under 18, we will terminate the account immediately. This Platform is not intended for children and is exempt from COPPA requirements as it is not directed to children under 13 and we do not have actual knowledge of collecting information from such users.

3. User Accounts

You are responsible for your account and all activities under it.

• Maintain the confidentiality of your login credentials. If you lose your password, there is no password recovery with this website.
• Provide accurate, current, and complete information during registration and keep it updated.
• Do not share your account or credentials with others.
• Notify us immediately of any unauthorized use or security breach.

4. User Generated Content (UGC)

The Platform allows you to submit, post, or transmit content including reviews, comments, forum posts, ratings, images, and other materials ("User Content").

By submitting User Content, you grant Rank and Play a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with operating, promoting, and improving the Platform.

You represent and warrant that: (i) you own or have all necessary rights to your User Content; (ii) it does not infringe any third-party rights; and (iii) it complies with these Terms and our Community Rules.

We may (but are not obligated to) monitor, remove, or modify any User Content at our sole discretion. For copyright infringement claims, we follow the Digital Millennium Copyright Act (DMCA). If you believe content infringes your copyright, submit a DMCA notice to our designated agent (details available on request or via contact form).

5. Prohibited Conduct

You agree not to:

• Violate our Community Rules (incorporated by reference).
• Harass, abuse, threaten, impersonate, or intimidate others.
• Post illegal, harmful, explicit, defamatory, or infringing content.
• Engage in spam, phishing, malware distribution, or unauthorized access attempts.
• Disrupt, interfere with, or overburden the Platform.
• Use the Platform for commercial solicitation without permission.

6. Intellectual Property

The Platform (excluding User Content) including text, graphics, logos, software, and design is owned by Rank and Play or its licensors and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without express permission.

7. Indemnification

You agree to indemnify, defend, and hold harmless Rank and Play, its affiliates, officers, directors, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your use of the Platform; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any third-party rights.

8. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of User Content. We do not warrant uninterrupted, error-free, or secure operation.

9. Limitation of Liability

To the fullest extent permitted by law, Rank and Play shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data, goodwill, or business interruption) arising from or related to your use of the Platform, even if advised of the possibility. Our total aggregate liability shall not exceed the greater of (i) the amount you paid us in the 12 months preceding the claim, or (ii) $100 USD.

10. Termination

We reserve the right to suspend or terminate your account or access at any time, without notice, for any reason, including violation of these Terms. Upon termination, your license to use the Platform ends, but certain provisions (indemnity, limitation of liability, etc.) survive.

11. Changes to Terms

We may update these Terms periodically. Continued use after changes constitutes acceptance. We will post the revised Terms here with an updated "Last updated" date.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes, claims, or controversies arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California. You consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum.
